Ethio Celebrity - Fan Terms of Service

Welcome to Ethio Celebrity!

These Fan Terms of Service are a legal agreement between you and Ethio Celebrity ("the Platform"). By creating an account and using the Platform, you agree to these Terms.

1. The Service

Ethio Celebrity is a platform that connects you with Ethiopian celebrities for personalized services, such as custom video messages and other digital content. We facilitate the transaction, but the service is created and delivered by the independent celebrity you select.

2. Your Responsibilities & Conduct

2.1. Respectful Interaction: You agree to treat all celebrities with respect. When making a request, you must not:

  • Use insulting, abusive, harassing, or threatening language.
  • Request any content that is illegal, sexually explicit, hateful, defamatory, or promotes violence.
  • Ask a celebrity to do anything that violates their known personal or religious beliefs.

2.2. Consequences of Harmful Behavior:

Any violation of section 2.1 is a material breach of these Terms. We reserve the right to:

  • Immediately cancel your order without a refund.
  • Permanently terminate your account.
  • Ban you from using Ethio Celebrity in the future.

Furthermore, such violations may constitute a legal offense under the laws of the Federal Democratic Republic of Ethiopia. The case may be reported to the appropriate legal authorities, and you may be subject to investigation and punishment as prescribed by law.

3. Payments & Refunds

3.1. Payment: You agree to pay the full amount advertised for the service you request.

3.2. Refund Policy:

  • If a Celebrity Doesn't Deliver: If a celebrity fails to deliver your approved order within the promised time, you will receive a full refund.
  • If Content is Not as Requested: If the delivered content does not meet the specific, reasonable requests you made, we will work with the celebrity to have it corrected. If it cannot be corrected or remains unsatisfactory, you will receive a full refund.
  • No Refund for Change of Mind: All sales are final once the celebrity has started working on or has delivered your order. You cannot get a refund simply because you changed your mind.
  • No Refund for Violation of Conduct: If your account is terminated for harmful behavior, you forfeit the right to any refunds for past or pending orders.

4. Content License

When you receive a video or other digital content, the celebrity grants you a personal, non-commercial license to use it. You can share it on your social media, but you cannot sell it, use it for business purposes, or claim you created it.

5. Other Important Terms

  • Account Security: You are responsible for keeping your account login details secure.
  • Changes to Terms: We may update these Terms. Your continued use of the Platform means you accept the changes.

BY USING ETHIO CELEBRITY, YOU AGREE TO THESE TERMS, INCLUDING THE RULES ON RESPECTFUL CONDUCT AND THE REFUND POLICY.

Disclaimer: Ethio Celebrity provides a venue for connections but is not a party to the contract between Fan and Celebrity. We are not liable for the actions or content of any user. These Terms are subject to the laws of the Federal Democratic Republic of Ethiopia.

Ethio Celebrity - Celebrity Terms of Service

Welcome to Ethio Celebrity!

These Celebrity Terms of Service are a legal agreement between you ("Celebrity") and Ethio Celebrity ("the Platform").

By registering for an account and clicking "I Agree," you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Your Core Responsibilities

1.1. Order Fulfillment: Once you approve a fan's order (for a video, message, meet-up, or any other service offered on the Platform), you are fully responsible for completing it. This means:

  • Delivering the service exactly as described in the order details.
  • Delivering it within the promised or agreed-upon timeframe.
  • Ensuring the quality meets a high professional standard that your fans would reasonably expect.

1.2. Revisions & Amendments: If a delivered service (e.g., a video message) does not meet the specific, reasonable requests made by the fan in their order, you must provide revisions and re-deliver the service at no extra cost until the fan's request is met. This is a fundamental requirement for using our Platform.

1.3. Content License to Fan: By delivering any video or other digital content through the Platform, you grant the purchasing fan a perpetual, worldwide, non-exclusive, non-transferable license to use that content for personal, non-commercial purposes. This includes the right for the fan to share the content on social media platforms (e.g., Instagram, Facebook, TikTok, YouTube). You understand and agree that this is a key feature of the service.

2. Financial Terms

2.1. Commission: You agree that Ethio Celebrity will deduct a commission from each transaction. The specific commission rate will be clearly communicated to you and confirmed via the Platform's internal messaging system or via a separate written agreement. The confirmed rate is legally binding under these Terms.

2.2. Payouts: Your net earnings (total fan payment minus our commission, transaction fee and VAT) will be paid out to you according to a schedule we determine and communicate to you (e.g., weekly, bi-weekly, or monthly). We will specify the payout method and any minimum balance requirements. We reserve the right to change the payout schedule with seven (7) days' notice to you.

2.3. Taxes on Platform Services:

Ethio Celebrity PLC will charge Value Added Tax (VAT) on its service fees to you, as required by the laws of the Federal Democratic Republic of Ethiopia. We will collect and remit this VAT directly to the relevant tax authorities. You are not responsible for paying VAT on the service fees you are charged by the Platform.

Please note that you remain solely responsible for reporting and paying any income tax or other applicable taxes on your net earnings received from the Platform.

3. Exclusivity

To protect our business and the value of the Platform, you agree that for the duration of your account's activation on Ethio Celebrity, you will not promote, use, or be listed on any other website, application, or service that operates a business model substantially similar to ours (i.e., a dedicated platform connecting celebrities with fans for paid personalized services).

4. Account Suspension & Termination

4.1. By Us for Cause: We may temporarily suspend or permanently terminate your account immediately if you:

  • Materially breach these Terms, including repeated failure to complete approved orders or delivering substandard content.
  • Engage in fraudulent, illegal, or harmful conduct towards fans or the Platform.
  • Become subject to any public scandal or controversy that, in our reasonable opinion, brings Ethio Celebrity into disrepute.

4.2. Effect of Termination: Upon suspension or termination, any pending orders will be cancelled and refunded to the fans. You will forfeit any unpaid earnings related to cancelled or undelivered orders. Sections of these Terms that by their nature should survive termination (like Ownership, Indemnification, and Dispute Resolution) will remain in effect.

5. Other Critical Terms

5.1. Independent Contractor Relationship: You are an independent contractor. You are not an employee, agent, or partner of Ethio Celebrity. You have no authority to bind Ethio Celebrity and will not represent yourself as an employee or agent of Ethio Celebrity.

5.2. Content Ownership and License to Us: You retain all ownership rights to the content you create. However, by using the Platform, you grant Ethio Celebrity a worldwide, royalty-free, non-exclusive license to host, display, reproduce, and promote your content and profile solely for the purpose of operating and marketing the Platform.

5.3. Code of Conduct: You agree to interact with fans professionally, respectfully, and in accordance with all applicable Ethiopian laws. You are solely responsible for the content you create and deliver.

5.4. Indemnification: You agree to indemnify and hold Ethio Celebrity, its owners, and employees harmless from any claims, damages, or losses (including legal fees) arising from: (a) your breach of these Terms; (b) the content you create and deliver; or (c) your interaction with any fan.

5.5. Disclaimer & Limitation of Liability: The Platform is provided "as is." We do not guarantee uninterrupted or error-free service. To the fullest extent permitted by Ethiopian law, Ethio Celebrity shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

5.6. Dispute Resolution & Governing Law:

  • Governing Law: These Terms shall be governed by and interpreted in accordance with the laws of the Federal Democratic Republic of Ethiopia.
  • Mandatory Mediation: In the event of any dispute, the parties agree to first attempt to resolve it through good-faith negotiations. If negotiations fail, the parties agree to submit the dispute to mediation in Addis Ababa, Ethiopia, before pursuing litigation.
  • Jurisdiction: Any legal proceedings shall be brought exclusively in the competent courts of Addis Ababa, Ethiopia.

5.7. Force Majeure: Neither party will be liable for any failure to perform its obligations due to events beyond its reasonable control, such as acts of God, war, terrorism, government restrictions, widespread internet failures, or public health emergencies.

5.8. Changes to Terms: We may modify these Terms at any time. We will notify you of any material changes. Your continued use of the Platform after the effective date of the revised Terms means you accept and agree to them.

  • YOU HAVE READ AND UNDERSTAND THESE TERMS.
  • YOU AGREE TO BE BOUND BY THEM, INCLUDING THE KEY PROVISIONS ON ORDER FULFILLMENT, REVISIONS, CONTENT LICENSING, COMMISSIONS, EXCLUSIVITY, AND INDEMNIFICATION.
  • YOU ARE ENTERING INTO A LEGALLY BINDING CONTRACT WITH ETHIO CELEBRITY.
